1. Agreement Overview

These Terms of Service ("Terms") govern your access to and use of GlobalSoftware (the "Platform"), including any content, functionality, and services offered through globalsoftware.com and related applications.

The Platform is operated by GlobalSoftware Inc. ("we," "us," or "our"), a software marketplace connecting developers ("Sellers") with customers ("Buyers").

You must be at least 16 years old to use the Platform. By registering, you represent that you meet this age requirement and have the legal capacity to enter into binding contracts.

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials.

You are responsible for all activities under your account. Notify us immediately of any unauthorized access or security breaches.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activities.

Permitted Uses

• Browsing and purchasing software for personal or business use
• Selling original software products you have rights to distribute
• Communicating with other users regarding transactions
• Providing feedback and reviews on products

Prohibited Activities

5. Software Licensing & Usage

Sellers grant Buyers non-exclusive, non-transferable licenses to use purchased software according to the specific license terms provided with each product.

Unless explicitly permitted by the specific software license, you may not:

• Redistribute, resell, or sublicense the software
• Modify, reverse engineer, or decompile the software
• Remove copyright or proprietary notices
• Use the software for illegal purposes

Sellers are responsible for:

• Providing accurate software descriptions and system requirements
• Ensuring software is free from malware and security vulnerabilities
• Providing reasonable technical support
• Honoring refund policies as stated

6. Financial Terms

Sellers set prices for their software products. Prices are displayed in the selected currency and may vary based on location due to taxes and exchange rates.

We charge a 15% commission on all software sales. This fee covers payment processing, platform maintenance, and customer support.

All payments are processed through secure third-party payment processors. We do not store credit card information on our servers.

Refund policies are set by individual Sellers and displayed on product pages. Platform-wide refund guidelines require:

• 30-day money-back guarantee for defective software
• Immediate refund for undelivered products
• Pro-rated refunds for subscription services

Seller earnings are processed monthly, minus applicable fees. Minimum payout threshold is $50. Payout methods include bank transfer, PayPal, and other supported payment methods.

7. Intellectual Property Rights

All platform content, features, and functionality are owned by GlobalSoftware Inc. and are protected by international copyright, trademark, and other intellectual property laws.

Sellers retain all intellectual property rights to their software products. By listing software, Sellers grant us limited rights to display, distribute, and promote the software on the Platform.

By submitting content (reviews, comments, etc.), you grant us a worldwide, non-exclusive license to use, display, and distribute that content in connection with the Platform.

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). Copyright infringement claims should be sent to: copyright@globalsoftware.com

8. Privacy & Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using the Platform, you consent to our data practices as described in the Privacy Policy.

We implement reasonable security measures to protect your information but cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials.

9. Limitations of Liability

The Platform is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Platform will be uninterrupted or error-free.

We are not responsible for the quality, functionality, or security of software sold by Sellers. Buyers purchase software at their own risk and should review product descriptions and reviews carefully.

To the maximum extent permitted by law, GlobalSoftware Inc. shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of the Platform.

Our total liability for any claims related to these Terms or your use of the Platform shall not exceed the greater of $100 or the amount you have paid us in the past 12 months.

10. Indemnification

You agree to indemnify and hold harmless GlobalSoftware Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your infringement of any third-party rights
• Any content you submit to the Platform

11. Termination

You may terminate your account at any time by contacting support or using account deletion features in your dashboard.

We may suspend or terminate your access to the Platform for:

• Violation of these Terms
• Fraudulent or illegal activities
• Non-payment of fees (for Sellers)
• Extended account inactivity

Upon termination:

• Your right to use the Platform immediately ceases
• You must cease all use of downloaded software (unless licensed otherwise)
• Outstanding financial obligations remain payable
• We may retain certain information as required by law

12. Dispute Resolution

Before filing any claim, you agree to attempt informal resolution by contacting us at legal@globalsoftware.com.

Any disputes shall be resolved through binding arbitration in Addis Ababa, Ethiopia, rather than in court.

You may only resolve disputes with us on an individual basis and may not bring claims as a plaintiff or class member in any class or representative action.

These Terms shall be governed by the laws of Ethiopia, without regard to its conflict of law provisions.

13. Miscellaneous

These Terms constitute the entire agreement between you and GlobalSoftware Inc. regarding the Platform.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

You may not assign your rights under these Terms without our written consent. We may assign our rights to any affiliate or successor entity.

We are not liable for any failure to perform due to causes beyond our reasonable control.
